Olive Consult

Freelance terms and conditions

1. Services:

Olive Consult agrees to provide content marketing consultancy services to Client. The scope of services, deliverables, and timeline are to be detailed in a separate annexure.

2. Payment:

Payment Terms: Payment shall be made 50% upfront, 50% upon completion of work. Invoices will be submitted by Olive Consult, and payment is due within 30 days of receipt.

3. Term and Termination:

Work shall continue until the completion of the services unless terminated earlier by mutual agreement or for a material breach of Agreement.

4. Ownership and Rights:

4.1 Ownership: Client acknowledges that all work produced by Olive Consult, including but not limited to content, graphics, and other materials, shall remain the property of Olive Consult until full payment is received.

4.2 License: Upon full payment, Olive Consult grants Client a non-exclusive, royalty-free license to use the completed work for its intended purpose.

5. Confidentiality:

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the term of this Agreement.

6. Independent Contractor:

Olive Consult is an independent contractor and not an employee of Client. Olive Consult is responsible for our own taxes and insurance.

7. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of South Africa.

8. Dispute Resolution:

Any disputes arising out of or in connection with any Agreement shall be resolved through negotiation and, if necessary, through arbitration in accordance with the laws of South Africa.

9. Miscellaneous:

9.1 Amendments: This Agreement may only be amended in writing and signed by both parties.

9.2 Entire Agreement: The Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.
